You may want to consider the Nikon 12-24 f4 DX lens. You can get one on ebay, mint, for a song. I call this lens a sleeper because it has been around so long folks sometimes forget about it. You can still get the lens new but used it is a real bargain. It is extremely sharp and will RETAIN IT'S VALUE long after the Tokina has lost it's. The reason for that is simple, the Nikon is a better value hands down. Good luck and keep on shooting until the end.

I hear what you are saying; but you have not answered the basic questions that have been either asked or stated in other ways. What other lenses do you have?
What is a better lens? Better in quality? Better in value? Better than what? How do you compare a 12-24 with a 24-85? They are used completely differently? You have heard that Nikon holds it's value better. All of this is 'so what' right now. If you want a 12-24, and are prepared to keep your 24-85 (at least for now); then you have been given excellent suggestions to consider. And consider this....if the camera store is prepared to give you the trade in plus $; then they should be willing to purchase the 24-85 at a later time or take it in trade for another lens that may actually fit your needs-- whatever they may be.

Not a great deal, but not a bad deal either - I would prefer the later/current Tokina 12-28mm for the larger range.

1) Do it. It'll give you want you want.
2) Fleabay the Nikon 55-200 kit lens. It's worth more than listed. Great addition to your kit.

I have a 70-300VR 3.5 5.6 Nikon the one with the red VR on it, a 50mm 1.8 manual lens Nikon pancake lens, and a chinos 28mm 2.8 with Nikon mount and I have my 24-85 nikon 3.5 lens with my Nikon D7100 the 50 and 28 are 80's lenses.

The Tokina optically is a pretty good lens and its built is superb. I would not dare to say it is better than the Nikon and I have used both but kept the Nikon lens.
I am going to say that you should buy the Tokina used if that is indeed the lens you want for your wide angle shots and keep your Nikon lens. I believe that will be the most acceptable solution.
