I just upgraded to a new computer and am wondering how I upload Capture NX2 to it. I have the product code, but not sure how to use in. I do not have a disc.
Thanks in advance for any help or advise.

I expect that most of the software you end up installing on your new computer will be downloaded from the web, not installed off a disk. My laptop doesn't even have a CD drive. :-)

Once you do it with this, you'll be fine with other software you need to download. With some software, be careful when installing not to simply click "Ok" to everything, sometimes that lets it install third-party software to your computer which you don't want.

How long have you had the Capture NX software? Specifically, is it Capture NX or Capture NX2? I don't use it myself, but there have been a couple of hate-threads on here from members who have switched from the old NX to NX2 and were really disappointed with the new software. The 2nd link Steve gave above has access to both the original Capture NX and the new Capture NX2 - just something to keep in mind.

I would recommend you have a good anti-virus installed before you start downloading software, even if you are downloading from manufacturing sites like Nikon. And I always recommend using Custom install, NOT the usual Recommended install. Read each step to make sure you are not loading every third-party toolbar and browser piggy-backing on the software load as Amehta mentions.
