Depend on what it is they are offering. If you downgrade to a product that doesn't work then it's free.

In such an instance, the level of the subject product apparently is the "upgrade" in evaluation. A discount is being offered with purchase for continued use. If the purchase is not made, the "downgrade" is to the free, less capable version. This is a very common, and quite understandable, practice where trial versions of software are being offered, and a charge card has not been required and tendered. In the latter case, the common practice is for the card to be charged for continued use of the "premium" version of the software unless that specifically is cancelled by the card holder.
